What is Pro-Rata Rights?

Pro-rata rights entitle an investor — LP or direct investor — to participate in future funding rounds at their proportional ownership level, preventing dilution as additional capital is raised.

In venture funds, pro-rata rights are typically negotiated by investors in a startup's early rounds to allow them to maintain their ownership percentage in subsequent rounds. For LPs in funds, pro-rata rights may refer to their right to participate in co-investment opportunities alongside the fund.

Pro-rata rights are valuable in venture investing because follow-on investments in winning companies often drive a large share of fund returns. Not all investors receive pro-rata rights; they are typically reserved for lead investors or large check writers.
